Dear Sirs,

 

In connection with foreign currency loan agreement dated [•], 20[•], for a loan of US$ [•].of which currently outstanding principal amount is US$ [•], to [•] Co., Ltd (the “Borrower”), we hereby confirm the following:

 

1.  We have full knowledge of the obligations undertaken by the Borrower.

 

2.  We beneficially own ( [•] %) of the voting right share capital of the Borrower and we will maintain our shareholding in the Borrower equal to at least the said percentage as long as any amounts are outstanding under the Facility Further, as the controlling shareholder of the Borrower, we are regularly informed of the financial status of the Borrower and we will ensure that the Borrower remains to be directly or indirectly under our management control.

 

3.  We would confirm to you that it has been our time-honoured and continuing policy to have our affiliates, partly or wholly owned, meet all of their financial and contractual obligations, but this confirmation does not mean our guarantee for the Borrower’s obligations to you.

 

4.  This Letter of Comfort shall remain effective until the Borrower has fully repaid the Facility and paid all interests accrued thereon and all monies payable to the Bank in accordance with the terms and conditions contained in the Facility Agreement.
