Re:  Letter of Intent on [•] Project

 

Dear Mr. [•],

 

The [BBB] Bank (“[BBB]”) has arranged foreign direct investments for the implementation of the [•] Project (the “Project”).

 

You have requested this indication of our present intention so that you can reserve the right to convert the initial direct investment up to US$ [•] to a proposed bank loan, if and when a joint venture company (“JVC”), co-established by [AAA] Bank (“[AAA]”) for the Project, fails to obtain [•], by the date of [•].

 

In this regard, [BBB] intends to guarantee the repayment of the principal of US$ [•] and the accrued interest thereon for [AAA] with respect to the Project subject to the conditions set forth below

 

Please note that this letter does not constitute a commitment to guarantee your investment to JVC. Such a commitment will only be entered into by [BBB] on conditions that:

 

i)  [AAA] fully pays US$ [•] to JVC’s account with [BBB] by [•], 20[•]. This fund will be disbursed to the Project under the direction of [BBB].

 

ii)  When [AAA] decides to convert the investment to a loan, it shall bear an interest 

rate of [•] percent ( [•] %) per annum with a maturity of [•] ( [•] ) years including a

grace period of [•] ( [•] ) years.

 

iii)  The letter of guarantee shall be issued subject to the appropriate internal procedure within one week from the loan conversion date.
