MEMORANDUM OF UNDERSTANDING

 

This Memorandum of UNDERSTANDING (“MOU”) is made of [DATE], by and between [AAA], Ltd.  (“[AAA]”), a corporation organized under the laws of [Name of the Country], having its principal place of business at [•] and the [BBB] Bank (“[BBB]”), a corporation organized under the laws of [Name of the Country], having its principal place of business at [•].

 

RECITAL

 

[AAA] and [BBB] wish to collaborate in contemplation of [BBB] becoming a participating financial institution in the Trade Card system.

[AAA] and [BBB] intend to make the best efforts to market and implement the Trade Card System in Korea.

 

[AAA] AND [BBB] AGREE AS FOLLOWS:

 

[AAA]:

 

Will arrange to install [BBB] with [•] free of charge.

 

Will provide [BBB] with whatever[•] free of charge.

 

Will make all reasonable efforts to assist [BBB] in [•]

 

Will make all reasonable efforts to [•].

 

MISCELLANEOUS PROVISIONS

 

(a)         Counterparts. This MOU may be executed in one or more counterparts, each of which shall be an original, but all of which together shall constitute one in the same MOU.

 

(b)         Authority of [AAA] and [BBB]. The execution of this MOU and the entering into of negotiations of the contracts described herein have been duly authorized by all necessary corporate action on the part of [AAA] and [BBB].

 

(c)         Amendments.  This MOU may be amended only by an instrument in writing signed by the parties.

 

(d)         Assignment. Neither party may assign this MOU or any of its rights, interests or any of its rights, interests or obligations hereunder without the prior written consent of the other party and any assignment without such consent shall be void.

 

(e)         Indemnification. [BBB] agrees not to use [•] for any purpose other than [•] and to this extent, [BBB] is exempted and indemnified by [AAA] from any possible damages.

 

(f)         Governing law. This MOU shall be governed by and construed in accordance with the laws of [Name of the Country] without regard to its conflicts of laws provisions.

 

(g)         Termination Date. This MOU shall terminate on [•], 20[•] or such earlier date as agreed between the parties.
