INFORMATION LICENSE AND DISTRIBUTION AGREEMENT

 

 

Between

And

 

[BBB].

 

1.          THE PARTIES

 

The parties of this agreement are:

(1)         The [AAA] Bank whose office is [•], (hereinafter referred to as “Data Provider”)

(2)         [[BBB] Inc.] whose registered office is at [•] (hereinafter referred to as “[BBB]”).

 

2.          THE TERMS

 

2.1        Data Provider hereby grants to [BBB] a non-exclusive license to distribute, use, display and store the information it provides to [BBB] in its no-line services.

 

2.2        [BBB] and Data provider agree to a one-year period whereby Data provider will submit articles or other financial and related information to the [BBB] Database in electronic format. For detail, please refer to Appendix A.

 

2.3        [BBB] will pay the Data Provider a royalty of [•] % ( [•] Percent) of all revenues earned from [BBB] customer access to the Data Provider’s Material on the Service.

 

2.4        [BBB] shall at the end of each quarter present Data Provider with a statement showing the usage of the information provided by data provider.

 

2.5        [BBB] shall keep accurate records of all access to the information b Subscribers and shall allow Data Provider to inspect all such records for the purpose of verification of usage statement that [BBB] will provide to Data Provider after [•] days of the end of each quarter.

2.6        [BBB] shall inform its customers and potential customers about the information provided by Data Provider on its service.

 

2.7        [BBB] shall retain ownership of the software, database technology and its copyrights, such as the [BBB] Logo and Presentation. Data Provider shall retain ownership of information Data Provider provides to [BBB]. [BBB] shall remove information provided by Data Provider from [BBB] web-site due to the expiry of the agreement term.

 

2.8        Data Provider shall be identified on the [BBB] Database with its logo; a Data Provider copyright shall appear on each piece of information on the service. Data Provider shall provide [BBB] with [•] page profile of Data Provider. [BBB] shall also carry the profile of the Data provider on [BBB]’s service

 

2.9        Data Provider represents and warrants to [BBB] that it is the lawful copyright owner of the information it provides to [BBB], or alternatively has obtained the permission of the copyright owner or owners to use the data in the information it provides for the purpose of selling the [BBB] Database. [BBB] shall use the information provided by Data Provider only for the purpose as set forth in the agreement.

 

2.10      [BBB] shall include in its service a provision that states that [BBB], Data Provider and all Data Providers do not assume responsibility for the accuracy of the information in the [BBB] Database. All users shall fully indemnify and hold harmless Data Providers, [BBB] and any of its affiliates against any judgment, liability (including negligence), loss, cost or damage (including litigation cost and reasonable legal fees and any consequential, indirect or special loss) resulting from or arising out of the content of the information.

 

2.11       Data Provider shall use his best endeavors to ensure that the information is accurate, complete and current. Neither [BBB], the Data Provider nor any of their affiliates shall be held responsible for any judgment, liability (including negligence), loss, cost or damage resulting from or arising out or the content of the information that Data Provider provides to [BBB].

 

2.12      The term of this Agreement shall commence on the date both parties sign the Agreement. This Agreement will be renewed automatically for [•]-year period thereafter unless written notification to the contrary is provided by either party at least [•] days prior to expiration of the initial term or any renewal term of this Agreement.

 

2.13      [BBB] shall use the information only for the purpose as set forth in this Agreement.
